1. PARTIES TO THIS AGREEMENT 合同双方
Enlai International LTD (trading as “Purple Ruler”)
Company Number: 13199000
(Hereafter referred to as “Purple Ruler”)
AND
The Parent/Guardian of the student to whom this contract has been sent.

Both parties agree to the payment and delivery of online teaching sessions in accordance with the lesson packages purchased.

2. PAYMENT 付款
- Payment must be made 7 days in advance of classes starting. Failure to pay in advance may result in the student being unable to start lessons on the chosen date or with the chosen teacher.
付款应在课程开始前 7天 完成。若未能提前付款，可能导致无法按所选日期或由所选教师开始上课。
- Accepted methods of payment (可能因地区或合作平台而异):
- BACS
- PayPal
- WeChat (微信)
- Alipay (支付宝)

3. DELIVERY OF LESSONS 上课规则
3.1 CANCELLATION OF LESSONS BY STUDENT 学生取消课程
- The student may apply for approval to cancel a lesson by giving at least 24 hours prior notice to Purple Ruler.
学生如需取消课程，需提前至少 24 小时通知 Purple Ruler。
- The maximum allowable cancellations within each purchased block of lessons are as follows:
各课程包可请假的次数如下：
- 15课包：可请假 2次 / 15-lesson package: up to 2 cancellations allowed
- 30课包：可请假 5次 / 30-lesson package: up to 5 cancellations allowed
- 60课包：可请假 10次 / 60-lesson package: up to 10 cancellations allowed
- 120课包：可请假 20次 / 120-lesson package: up to 20 cancellations allowed
- For group lessons (more than one student per session):
- Cancellation by the student is not permitted.
对于多人参与的团体课程，学生不可取消课程。
- Lessons not attended by the student without giving at least 24 hours’ notice to Purple Ruler shall be charged at the full rate and deducted from the remaining lessons.
若学生未能提前 24 小时通知并缺席课程，则该课时将按全额收费，并从剩余课时中扣除。
3.2 CANCELLATION OF LESSONS BY TEACHER 老师取消课程
- The teacher may cancel lessons by giving at least 24 hours prior notice to Purple Ruler and the student. In this case, Purple Ruler shall either:
教师若需取消课程，须提前至少 24 小时通知 Purple Ruler 和学生。在此情况下，Purple Ruler 将：
- Reschedule the lesson at a mutually agreeable time; or
在双方都同意的时间重新安排课程；或
- Provide a substitute teacher.
提供代课教师。
- Where the teacher provides less than 24 hours’ notice, Purple Ruler shall provide a substitute teacher.
若教师在不足 24 小时的情况下取消课程，Purple Ruler 将提供代课教师。

3.3 LATE ARRIVAL 迟到
1. Fees are calculated based on the scheduled number of lessons. No adjustment shall be made for time lost due to the student’s late arrival.
学费按课程表中的课时数计算，因学生迟到而造成的时间损失不予补偿。
2. If the teacher is more than 10 minutes late, Purple Ruler will compensate by offering one extra free lesson.
若教师迟到超过 10分钟，Purple Ruler 将额外提供 一次免费课程 作为补偿。

3.4 OBLIGATIONS OF THE TEACHER 老师的义务
- The teacher undertakes to prepare adequately before lessons and structure lessons to optimize the student’s learning.
教师应在课前做好充分准备，并合理安排课程以优化学生的学习体验。
- The teacher shall keep all student information confidential and will only contact other parties involved in the student’s education with the student’s (or Parent/Guardian’s) written permission.
教师应对学生的所有信息保密，只有在获得学生（或家长/监护人）书面许可的情况下，才可联系与学生教育相关的其他人员。
- The teacher shall not assign any of his/her duties under this contract to a third party without written permission from the student (or Parent/Guardian).
未经学生（或家长/监护人）书面许可，教师不得将其在本合同项下的任何职责或义务转让给第三方。
- The teacher shall at no time be required or obliged to complete homework or assignments on behalf of the student.
教师在任何时候都不应被要求或有义务代替学生完成作业或其他课业。

3.5 OBLIGATIONS OF THE PARENT AND THE STUDENT 家长和学生的义务
- The Parent/Guardian undertakes to assist Purple Ruler in emphasizing the importance of consistent learning and practice.
家长/监护人应协助 Purple Ruler 强调持续学习和练习的重要性。
- The student agrees that assignments, exercises, or homework form an integral part of learning and undertakes to complete such work punctually.
学生同意作业、练习或家庭作业是学习的重要组成部分，并承诺按时完成。

3.6 STATUS OF THE TEACHER 老师的状态
Your teacher will:
您的老师应具备：
- Be TEFL Certified (including TEFL, TESOL, or a valid teaching certificate).
拥有 TEFL证书（包括TEFL、TESOL或有效教师资格证）
- Have a bachelor’s degree or above.
本科学历及以上
- Have English as their mother tongue/first language (or be sufficiently qualified if teaching other subjects).
来自英语母语国家/第一语言国家（或在教授其他学科时具备相应资质）
- Have received extensive teacher training.
接受过系统且严格的教师培训

3.7 TERMINATION 合同终止
This contract may be terminated by either party at any time by giving the other party 7 days’ prior written notice. However:
- If the Parent/Guardian or the student initiates termination, any remaining lessons or fees shall be subject to the Refund Clause (see Section 3.8 below).
若家长/监护人或学生提出终止，则剩余课时或费用需遵守退款条款（见第3.8条）。
- Purple Ruler reserves the right to terminate immediately if the Parent/Guardian or student commits any material breach of these terms or engages in conduct that disrupts the learning environment. In such cases, Purple Ruler shall not be liable for any compensation, and any refund or remaining lesson credits shall be determined at Purple Ruler’s sole discretion.
若家长/监护人或学生严重违反本合同条款或有破坏学习环境的行为，Purple Ruler 保留立即终止合同且不承担任何责任的权利。在此情况下，是否退款或如何处理剩余课时将由 Purple Ruler 全权决定。

3.8 REFUND CLAUSE 退款条款
- General Refund Entitlement
- Parents/students are entitled to a refund of their unspent class credit up to 7 days before their next class. If less than 7 days’ notice is given, the next class fee is non-refundable, but all other prepaid classes will be refunded within 14 working days from the date of the request.
家长/学生可在下节课前 7天 内申请退还未使用的课时；若通知不足7天，则下节课不予退还，但剩余预付课时将于申请后 14个工作日 内退还。
- Any classes redeemed via a gift from the company or as part of a referral scheme are non-refundable.
任何通过公司赠送或推荐活动获取的课时均不可退还。
- If the student requests a refund after the first lesson has been scheduled, 30% of the total amount paid will be deducted as a handling fee.
若在第一节课被安排后申请退款，将从已支付总额中扣除 30% 作为手续费。
- Additional Provision on Refund and Alternative Teacher Trials
- This contract is entered into with Purple Ruler and does not establish an exclusive contractual relationship with any individual teacher.
本合同是与 Purple Ruler 签订，并 不 构成与特定教师的专属合同关系。
- In the event the designated teacher departs or the teacher’s schedule changes, Purple Ruler shall provide the student with four (4) complimentary trial sessions, each lasting 25 minutes, delivered by alternative teachers.
若指定教师离职或课表发生变动，Purple Ruler 将为学生提供 4次免费试听课（每次 25分钟），由其他教师授课。
- If the student is not satisfied after these complimentary sessions, Purple Ruler will offer additional paid trial sessions (with no limit on quantity) which will count against the student’s pre-purchased lesson hours. Alternatively, the student may elect to terminate the contract and receive a refund, subject to a 30% deduction of the total fees paid.
如果学生在免费试听后仍不满意，Purple Ruler 可提供 不限次数的付费试听（从已购课时中扣除），或者学生也可选择终止合同并获得退款，但需从已支付费用中扣除 30%。
- Refund Process
- All approved refunds will be processed within 14 working days of the request.
所有批准的退款将在申请后的 14个工作日 内完成。
- Refunds will be made via the original payment method or another method agreed upon by both parties.

- Any banking or transaction fees incurred during the refund process may be deducted from the refunded amount.

3.9 RELAXATION OF TERMS 合同条款的协商性
No relaxation, indulgence, waiver, or release by any party of any rights under this agreement on one occasion shall prevent the subsequent enforcement of such rights, nor shall it be deemed a waiver of any subsequent breach of the same or any other term herein.
任何一方对本协议项下权利的一次性放松、宽免、放弃或豁免，不应妨碍随后对该权利的执行，也不得被视为对本协议同类或其他条款随后违反行为的放弃。

4. WHOLE AGREEMENT 全部条款确认
This agreement constitutes the entire understanding between the parties concerning the subject matter hereof. The parties waive the right to rely on any alleged expressed or implied provision not contained herein. Any alteration to this agreement must be in writing and signed by both parties.
本协议构成双方就本协议标的事项的全部理解，双方放弃依赖任何未包含于本协议中的明示或默示条款的权利。对本协议的任何修改必须以书面形式进行并由双方签字。

4.2 AUTHORIZATION FOR MINOR 未成年人授权
This document confirms that the above minor (any person under the age of 18) is authorized to receive tuition from an approved teacher.
此文件确认上述未成年人（任何年龄在18岁以下的人）有权接受认可教师的授课。
I understand that to maximize my child’s learning experience, I (or another parent or legal guardian) must be nearby during any training sessions. If no parent or legal guardian is present, the teacher is instructed to cancel the session, which may disrupt my child’s learning experience and will still be charged for.
我明白，为了最大化我孩子的学习体验，我（或其他家长/合法监护人）必须在任何课程期间在场。如果没有家长或合法监护人在场，教师会被指示取消课程，这可能会影响我孩子的学习体验，并且仍将扣除该课程费用。
